The true contrat :
- 1) There have to be two partie in the agreement
- 2) There agreement must be meant to be legally binding
- 3) There has to be a kind of exchange of goods of services

The 5 essential components of the true contrat :
1) Offer :
An indication of willingness to do or refrain from doing something that is capable of being converted by acceptance into a legally binding contract.
2) Acceptance :
Agreement to the terms of an offer that, provided certain other requirements are fulfilled, converts the offer into a legally binding contract.
3) Consideration :
An act. forbearance. or promise by one party to a contract that constitutes the price for which he buys the promise of lite other.
4) Intention : ·
The state of mind of one who aims to bring about a particular consequence.
5) Capacity :
Competence to enter into a legally binding agreement.
The terms of the contract
1) Express terms :
A provision of a contract, agreed to by the parties, that is either wri tten or spoken.
2) Implied terms :
A provision of a contract not agreed to by the parties in words but either regarded by the courts as necessary to give effect to their presumed intentions or introduced into the contract by statute (as in the case of contracts for the sale of goods)
The discharge of the contrat (Release from an obligation, debt, or liability)
1) Performance :
The carrying out of obligations under a contract.
2) Agreement :
Special rules govern the creation of such a contract.
3) Frustration :
The unforeseen termination of a contract as a result of an event that either renders its performance impossible or illegal or prevents its main purpose from being achieved.
4) Breach of contract :
An actual failure by a party to a contract to perform his obligations under that contract or an indication of his intention not to do so.
